These Terms of Service ("Terms") govern your access to and use of StatSwift. Please read them carefully. By creating an account, starting a trial or buying a subscription, you agree to these Terms.
1. Who we are
1.1. StatSwift is provided by BPROBOTICS spółka z ograniczoną odpowiedzialnością (BPROBOTICS sp. z o.o.), ul. 3. Your account
3.1. To use the Service you must create an Account. You can sign in with a one-time email link or code, with a passkey, or with a Microsoft or Google account. When you sign in with a third-party account, that provider's terms also apply to your use of it.
3.2. You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of an organization, you confirm that you are authorized to bind it to these Terms, and "you" includes that organization.
3.3. You must give accurate information and keep your sign-in methods secure. You are responsible for activity in your Account. Organization owners and administrators are responsible for the members they invite, the roles they grant and the Seats they assign.
3.4. Creating an Account is free. A free Account gives access to the account and organization area. Using the statistics application requires a Seat under an active trial, paid Subscription or Enterprise agreement.
4. Plans
4.1. We currently offer these plans:
- Individual — 1 Seat; bought online in the Service; 14-day free trial available;
- Team — up to 10 Seats; bought online in the Service;
- Enterprise — unlimited Seats; by agreement with our sales team.
4.2. All plans include the same features. Plans differ in the number of Seats. Current prices and billing intervals are published on our pricing page and shown again before you pay.
4.3. Seats are personal. Each Seat is assigned to one named User. Organization owners and administrators may reassign a Seat to another person when a User leaves the Organization or no longer needs access, but not to let several people take turns using one Seat. We may review Seat assignment records to check compliance with this section.
4.4. Enterprise plans are not sold online. The price, number of Seats, term and any service levels are set in an individual order form or agreement with us, and we invoice Enterprise fees directly. Sections 5 to 10 do not apply to Enterprise plans unless that agreement says so. The rest of these Terms apply to Enterprise customers unless the agreement provides otherwise; if they conflict, the agreement prevails.
5. How online purchases work
5.1. Paid Individual and Team Subscriptions are sold through Link. Payments are processed by Stripe through its Managed Payments service, in which Link acts as the reseller and merchant of record for your purchase. At checkout you see "Sold through Link", and your payment statement shows "LINK.COM* STATSWIFT.IO".
5.2. This means that:
- Link handles the purchase: it takes payment, calculates and collects taxes, issues receipts and invoices, handles payment and subscription support, refunds and disputes, and applies consumer protection rules such as cooling-off periods where they apply. The terms presented by Link at checkout govern these matters. See Link's information about purchases sold through Link.
- We provide the Service: these Terms govern your access to and use of StatSwift, your Account, Seats and Customer Data, and product support.
5.3. We do not receive or store your full payment card details. We receive information about your purchase from Stripe so that we can provide the Service, as described in our Privacy Policy.
5.4. Prices on our pricing page are in euros (EUR) and do not include VAT or similar taxes. Applicable taxes are calculated by Link at checkout based on your location and, for business purchases, your tax ID, and are shown before you pay. Checkout may offer you the price in your local currency; in that case the amount and any currency conversion cost are shown before you pay, and you may choose to pay in EUR instead.
5.5. Your contract for a paid Subscription is concluded when you complete checkout. Link sends you a receipt or invoice by email.
6. Free trial
6.1. The Individual plan includes one 14-day free trial. No payment method is required to start it. The trial gives full access to the Service for one Seat.
6.2. If you do not add a payment method, the trial simply ends on its last day and you are not charged. Stripe or Link may email you before the trial ends with a link to add a payment method.
6.3. If you add a payment method during the trial, your paid Individual Subscription starts automatically when the trial ends, and you are charged the price of the billing interval you chose, as shown to you when you added the payment method. You can cancel before the trial ends to avoid this charge (section 9).
6.4. One free trial is available per person and product. Using a trial in one Organization uses it up for all Organizations, and cancelling or deleting an Organization does not restore it. If your trial is already used, checkout asks for a payment method and the paid Subscription starts immediately.
6.5. The Team plan has no free trial.
7. Billing and renewal
7.1. Paid Subscriptions are billed in advance for each Billing Period and renew automatically for successive Billing Periods of the same length until cancelled. By subscribing, you authorize the charge of your payment method for each renewal and for changes described in section 8.
7.2. You can view invoices and update your payment method and billing details in the billing portal linked from the billing page of the Service.
7.3. Failed payments. If a renewal payment fails, your Subscription becomes past due, and Stripe or Link will retry the payment and notify you so that you can update your payment method. You keep access for up to 3 days after the end of the paid Billing Period. If payment is still outstanding after that, access under that Subscription is suspended until payment succeeds. If payment cannot be collected, the Subscription may be cancelled.
7.4. Price changes. We may change prices for future Billing Periods. We will notify you by email at least 30 days before a change takes effect for you. The new price applies from your first renewal after that date. If you do not agree, you can cancel before that renewal.
8. Changing your plan
8.1. Organization owners and administrators can change the plan (for example, from Individual to Team) or the billing interval on the billing page of the Service. Before you confirm, we show you the amount that will be charged or credited.
8.2. Changes take effect immediately. If the new plan or interval costs more, the prorated difference for the rest of the current Billing Period is charged immediately. If it costs less, the prorated value of the unused part is credited to your billing account and applied to your next invoices. Credits are not paid out in cash and lapse when your Subscription ends.
8.3. Changes made during a free trial keep the remaining trial period.
8.4. A plan change is not available while a cancellation is scheduled. Reactivate the Subscription first (section 9.3).
8.5. The number of Seats is fixed by the plan. To get more Seats, change to a larger plan or contact sales@statswift.io about Enterprise.
9. Cancellation
9.1. Organization owners and administrators can cancel a Subscription at any time on the billing page of the Service. You can also ask us to cancel it by emailing support@statswift.io from the email address of an owner or administrator of the Organization.
9.2. Cancellation takes effect at the end of the current Billing Period (or at the end of the free trial). You keep access until then and are not charged again. A cancelled annual Subscription is not refunded for the remaining months, except as stated in section 10.
9.3. You can reactivate a cancelled Subscription on the billing page until the end of the current Billing Period.
9.4. When a Subscription ends, the Seats under it stop giving access to the statistics application. Your Account and Organization remain, and you can buy a new Subscription at any time.
10. Refunds and withdrawal
10.1. Fees are non-refundable, including for unused time, unused Seats and cancellation of an annual Subscription before its end, because you can evaluate the Service free of charge during the trial. This does not limit:
- (a) the statutory rights described in sections 10.2 to 10.4;
- (b) refunds that Link grants under its own terms;
- (c) a refund under section 18.2 if we end your Subscription without cause;
- (d) any other refund required by mandatory law.
10.2. Right of withdrawal. If you are a Consumer, or an individual entrepreneur entitled to consumer protection under Article 7aa of the Polish Consumer Rights Act (a sole trader for whom the contract has no professional character, as shown by their registered business activity), you may withdraw from a paid Subscription within 14 days of concluding the contract without giving a reason. You can withdraw through Link support at support.link.com, through the withdrawal option offered by Link for your purchase, or by sending us a clear statement by email to legal@statswift.io or by post to the address in section 1.1. You may use the model withdrawal form in the Annex, but you do not have to.
10.3. If you asked for the Service to start immediately, which happens when you start a paid Subscription without a trial, and you then withdraw within 14 days, you pay for the Service provided until you withdraw, in proportion to the full price, and the rest is refunded within 14 days of your withdrawal to your original payment method.
10.4. Conformity. If you are a Consumer, or an entrepreneur entitled to consumer protection, you have the statutory rights that apply when a digital service does not conform to the contract, including having it brought into conformity, a price reduction or termination with a refund. Report the problem as a complaint under section 11.
10.5. If you believe you were charged in error, contact support@statswift.io and we will work with Link to correct it.
11. Support and complaints
11.1. You can send questions and complaints about the Service to support@statswift.io or to our postal address. Please include the email address of your Account, the Organization, a description of the problem and what you request. Questions about a payment, receipt, invoice or refund can also be sent directly to Link support.
11.2. We will respond to complaints within 14 days of receiving them, by email.
12. Acceptable use
12.1. You must not:
- (a) use the Service in breach of law or the rights of others;
- (b) try to access other customers' data or accounts, or bypass security measures, access controls or Seat limits;
- (c) share one Seat or one Account among several people;
- (d) interfere with the Service, overload it, or access it by automated means other than through the Service's own interfaces;
- (e) reverse engineer the Service, except where the law allows it;
- (f) resell or sublicense the Service without our written consent;
- (g) use the Service in breach of applicable export control or sanctions laws.
12.2. We may suspend access if you seriously breach this section or if it is necessary to protect the Service or other users. We will notify you in advance where reasonably possible and restore access once the issue is resolved.
13. Customer Data
13.1. You keep all rights to your Customer Data. We use it only to provide, secure and support the Service.
13.2. The statistics application processes the data you analyse on our servers only to compute results and return them to you. It does not keep it on our servers. Your worksheets, drafts and results are saved in your browser's storage on your device. Clearing your browser data, using a private window, or switching browsers or devices can remove or hide them. Use the application's export function to keep copies of work you want to keep. You are responsible for keeping such copies.
13.3. You are responsible for having the right to use the data you enter into the Service and for not entering data you are not allowed to process. Where you use the Service for an organization and the Customer Data contains personal data, we process it on that organization's behalf under our Data Processing Agreement, which forms part of these Terms.
13.4. How we process personal data, including Account and billing data, is described in our Privacy Policy.
13.5. You must not enter into the Service special categories of personal data (such as data concerning health, genetic or biometric data, or data revealing racial or ethnic origin, political opinions, religious beliefs or trade union membership) or personal data relating to criminal convictions and offences, unless the data has been anonymised or an Enterprise agreement expressly allows it.
14. Intellectual property
14.1. The Service, the Website and all related software, content, designs and trademarks belong to us or our licensors.
14.2. For the duration of your Subscription we grant you a non-exclusive, non-transferable right to use the Service for the number of Seats you have. Results you produce with the Service belong to you.
15. Availability and changes to the Service
15.1. We aim to keep the Service available and to fix errors promptly, but we do not guarantee uninterrupted or error-free operation. Planned maintenance will be announced in advance where possible.
15.2. We may improve and change the Service. We will not remove a core feature of a paid Subscription during its current Billing Period, unless this is required by law or for security. If a change significantly affects you, we will inform you in advance, and you may cancel. If you are a Consumer, or an individual entrepreneur entitled to consumer protection, and a change to the Service has more than a minor negative impact on your access to or use of it, you may terminate the contract free of charge within 30 days of the change or of our notice, whichever is later, and we will refund the fees for the unused part of the Billing Period.
15.3. If you use the Service for business purposes, we warrant that the Service will perform materially as described on our website and in its documentation. If it does not, report the non-conformity to support@statswift.io and we will correct it within a reasonable time. If we do not, you may terminate the contract under section 18.3. Consumers and individual entrepreneurs entitled to consumer protection have the statutory rights described in section 10.4 instead.
16. Statistical results
The Service provides statistical tools. You are responsible for choosing appropriate methods, checking your input data and interpreting the results, and for decisions you make based on them. The Service does not replace professional judgement or any validation required in your industry.
17. Liability
17.1. If you use the Service for business purposes, then to the extent permitted by law:
- (a) our total liability arising from or related to these Terms is limited to the fees paid for the Service in the 12 months before the event giving rise to the claim;
- (b) we are not liable for lost profits, lost revenue, indirect damage, or loss of data that you could have prevented by keeping copies (section 13.2);
- (c) apart from the warranty in section 15.3, the Service is provided "as is", without warranties not expressly stated in these Terms.
17.2. These limitations do not apply to damage caused intentionally or by gross negligence, to liability that cannot be limited by law, or to Consumers and individual entrepreneurs entitled to consumer protection, whose statutory rights are not affected.
18. Term and termination
18.1. These Terms apply for as long as you have an Account. You can stop using the Service at any time and ask us to delete your Account as described in our Privacy Policy. Deleting your Account does not by itself cancel a paid Subscription of an Organization; cancel it first under section 9.
18.2. We may end a Subscription or close an Account with 30 days' notice for a valid reason, such as discontinuing the Service, refunding prepaid fees for the unused part of the Billing Period. We may end them immediately if you seriously breach these Terms and do not remedy the breach within 14 days of our notice, or immediately where the breach cannot be remedied.
18.3. You may terminate a Subscription with immediate effect if we seriously breach these Terms and do not remedy the breach within 14 days of your notice to support@statswift.io. This does not limit your statutory rights, including any refund required by mandatory law.
19. Changes to these Terms
19.1. We may change these Terms for valid reasons, such as changes in law, security requirements, our payment providers or the Service. We will notify you by email at least 30 days before changes take effect.
19.2. Changes apply from the date stated in the notice and, for paid Subscriptions, from your next Billing Period. If you do not accept them, you can cancel before they take effect.
20. Confidentiality
20.1. Each party will keep confidential the non-public information it receives from the other party in connection with the Service, such as Customer Data, non-public business or technical information and the terms of an Enterprise agreement ("Confidential Information"). Each party will use the other's Confidential Information only to perform these Terms, protect it with at least reasonable care, and disclose it only to its employees, contractors and advisers who need it for that purpose and are bound by equivalent confidentiality obligations.
20.2. This does not apply to information that is or becomes public without breach of these Terms, was lawfully known to the receiving party before, is received lawfully from a third party without a confidentiality obligation, or is developed independently. A party may disclose Confidential Information where required by law or by a court or authority, after notifying the other party where legally permitted.
20.3. These obligations continue for 5 years after the contract ends, and for as long as the information remains a trade secret.
21. Indemnity by business customers
21.1. If you use the Service for business purposes, you will indemnify us against claims of third parties, and the related damages and reasonable costs, arising from Customer Data you entered into the Service or from your breach of section 12 or section 13.5, provided that we promptly notify you of the claim, let you control its defence and settlement, and cooperate reasonably.
21.2. This section does not apply to Consumers or to individual entrepreneurs entitled to consumer protection.
22. Governing law and disputes
22.1. These Terms are governed by Polish law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
22.2. If you are a Consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts that have jurisdiction under those laws. Consumers in Poland may also use out-of-court complaint and dispute resolution, for example through the local consumer ombudsman (miejski or powiatowy rzecznik konsumentów) or the Trade Inspection (Inspekcja Handlowa).
22.3. For all other customers, disputes will be resolved by the common court having jurisdiction over our registered office in Kraków, Poland.
23. General provisions
23.1. Force majeure. Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, war, acts of public authorities, or failures of public networks or of third-party infrastructure that the party could not reasonably avoid. The affected party will inform the other party and take reasonable steps to limit the effects. This does not suspend your statutory rights as a Consumer.
23.2. Assignment. You may not transfer your rights or obligations under these Terms without our consent, which we will not unreasonably withhold; consent is not needed for a transfer to a successor in a merger or a sale of all or substantially all of your business, if you notify us. We may transfer the contract to a company that takes over the Service, after notifying you; if you are a Consumer, this does not reduce your rights, and you may cancel.
23.3. Order of precedence. These Terms apply to all purchases of the Service. Terms included in your purchase orders or similar documents do not apply unless we accept them in writing. An Enterprise agreement prevails as described in section 4.4.
23.4. Notices. We send notices to the email address of your Account or, for an Organization, of its owners. You can send notices to legal@statswift.io or to our postal address.
23.5. Severability and waiver. If a provision of these Terms is found invalid or unenforceable, the remaining provisions stay in effect, and the provision will be applied to the extent permitted by law. Not enforcing a right is not a waiver of it.
23.6. Survival. Provisions that by their nature should continue after the contract ends, including sections 13, 14, 17, 20, 21 and 22, continue to apply.
